Announcement of the obligation to disclose information of major shareholders

Dear Valued Customers,

 

Clause 18, Article 4 of the Securities Law 2019 stipulates:

“Major shareholder” is a shareholder owning 5% or more of the voting shares of an issuer.

 

Clause 3, Article 3, Circular 96/2020/TT-BTC stipulates:

Investors subject to the obligation of information disclosure include:

    • Major shareholders or groups of related people owning 5% or more of the voting shares of a public company; investors, groups of related people owning 5% or more of fund certificates of a closed-end fund;
    • Groups of related foreign investors owns 5% or more of the voting shares of an issuer or 5% or more of the fund certificates of a closed-end fund;
    • Shareholders and groups of related people buy to own 5% or more of the voting shares of a public company; investors or groups of related people buy to own 5% or more fund certificates of a closed-end fund;

 

Pursuant to the above provisions, Japan Securities Co. Ltd. (JSI) would like to inform customers about the obligation to disclose information as follows:

    1. Customers who are currently major shareholders of an organization that is listed, registered for trading please declare this information with JSI via one of the below methods:

    1. Customers who are major shareholders of an organization that is listed, registered for trading please fulfill your obligations to disclose information of major shareholders as prescribed in Article 31 of Circular 96/2020/TT-BTC.
